Terms of Service

Parties

These Terms of Service ("Terms") constitute an agreement between:

  • Bliss Legal Studio — Brian Alexander, Esq. (CA Bar #[PENDING]) and Mara Virabov, Esq. (CA Bar #[PENDING]), a California law practice located in Los Angeles, California ("Firm," "we," or "us"); and
  • You — the individual or entity accessing Production Legal Hub and engaging our services ("Client" or "you").

By submitting a project through Production Legal Hub, you agree to these Terms. Questions may be directed to legal@blisslegalstudio.com.

Services

The Firm provides the following services through Production Legal Hub:

  • AI-Assisted Production Legal Analysis — Identification of the legal documents and clearances required for a production using Claude AI, subject to attorney review.
  • Document Generation — Drafting of production legal agreements (crew deal memos, appearance releases, location releases, music clearances, life rights agreements, E&O schedules) using AI drafting tools, reviewed and finalized by a licensed attorney.
  • DocuSign Routing — Electronic routing of executed agreements to signatories for signature via DocuSign.
  • Productions Database — Maintenance of a completed productions catalog reflecting the clearance and delivery status of your projects.
Out of Scope — The following are expressly outside the scope of these services:
  • Union and guild negotiations (SAG-AFTRA, AFM, IATSE, WGA, etc.)
  • Sample clearance for recorded music embedded in the performance
  • Talent representation or negotiation of principal/talent fees
  • Tax, immigration, insurance, or other non-entertainment legal advice
  • Litigation or dispute resolution services
Attorney-Client Relationship

By submitting a project through Production Legal Hub, you acknowledge that you are forming an attorney-client relationship with Bliss Legal Studio for the purpose of the production legal engagement described in that project submission.

This relationship is governed by the California Rules of Professional Conduct. The Firm's duties of loyalty and confidentiality attach upon project submission. Conflicts of interest will be disclosed prior to commencing any engagement.

AI Use Disclosure
Agreements generated with AI assistance are reviewed and approved by a licensed California attorney before delivery to any third party.

The Firm uses Anthropic's Claude API to assist in generating rights analysis and drafting agreements. AI-generated content is a starting point for legal work, not a finished product. Every document delivered to you or to a counterparty has been reviewed by a supervising attorney at Bliss Legal Studio.

Per California Rules of Professional Conduct Rule 1.1 (Competence), the Firm maintains supervisory responsibility over all AI output. Your project data transmitted to the Anthropic API is governed by Anthropic's API data usage policy, under which API inputs are not used to train AI models.

Confidentiality

All information you share with the Firm in connection with your engagement is confidential and protected under:

  • California Rules of Professional Conduct, Rule 1.6 (Confidential Information of a Client)
  • California Evidence Code § 954 (Attorney-Client Privilege)

The Firm will not disclose confidential information except as permitted by Rule 1.6, required by law, or authorized by you in writing.

No Guarantee of Rights Holder Approval

The Firm provides legal drafting and clearance facilitation services. We make no representation, warranty, or guarantee that any rights holder — including distributors, co-producers, music publishers, location owners, principals, or platforms — will approve or execute any agreement drafted through Production Legal Hub. Clearance outcomes depend on third-party decisions outside the Firm's control.

Limitation of Liability

To the maximum extent permitted by applicable law and the California Rules of Professional Conduct, the Firm's aggregate liability to Client for any claims arising from or related to services provided under these Terms is limited to the total fees paid by Client to the Firm in the specific engagement giving rise to the claim.

Nothing in this section limits the Firm's liability for gross negligence, willful misconduct, or as otherwise required by the California Rules of Professional Conduct.

Termination

Either party may terminate an engagement by providing 5 business days written notice to the other party. Notice must be sent to legal@blisslegalstudio.com (Client terminating) or to your email address on file (Firm terminating).

Upon termination, the Firm will return or transfer your client file within 30 days and will securely delete your data from our systems subject to applicable legal retention obligations. Fees earned through the date of termination remain payable.

Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles.

Any dispute arising from these Terms or any engagement under them shall be resolved in the state or federal courts located in Los Angeles County, California, and both parties consent to the personal jurisdiction of such courts.
